1. Definitions
- Account means your unique user account for accessing the Service.
- Community means a homeowners’ association (HOA), condominium association (COA), or similar entity.
- Subscriber means a Community or its authorized representative who has purchased a subscription to the Service.
- User Content means any data, text, images, or other materials you upload, submit, or otherwise provide through the Service.
2. Eligibility & Registration
- Eligibility: You must be at least 18 years old and have authority to bind your Community.
- Registration: To use the Service, you must create an Account, provide accurate contact and billing information, and set a secure password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account.
3. Subscriptions & Payment
- Plans & Fees: We offer tiered subscription plans; details and pricing are available in your dashboard. All fees are quoted in USD.
- Billing: Subscriptions renew automatically on a monthly or annual basis. You must keep a valid payment method on file; we accept major credit cards and other methods as announced.
- Taxes: You are responsible for any sales, use, or similar taxes associated with your subscription.
- Late Payment: We reserve the right to suspend or terminate your Account for non-payment.
4. Free Trial
If we provide a free trial, you will not be charged until the trial ends. You may cancel any time during the trial to avoid charges; otherwise, your subscription will convert to a paid plan at the then-current rate.
5. Use of the Service
- Permitted Use: The Service is for managing parking privileges, guest permits, and related reporting for your Community.
- Restrictions: You agree not to (a) copy, modify, or reverse-engineer our software; (b) use the Service to violate laws or infringe rights; (c) attempt to gain unauthorized access to other accounts or networks; or (d) interfere with the Service’s operation.
6. User Content
- Ownership: You retain all rights in your User Content.
- License to Us: By uploading User Content, you grant us a worldwide, royalty-free, sublicensable license to host, copy, and display it as necessary to provide the Service.
- Responsibility: You are solely responsible for your User Content and must ensure it does not violate third-party rights or laws.
7. Privacy & Data Security
Our Privacy Policy explains how we collect, use, and disclose personal data. You agree to our processing of your data in accordance with that Policy. We implement reasonable technical and organizational safeguards to protect your information.
8. Intellectual Property
All software, trademarks, logos, and content on the Service are owned by us or our licensors. Except for the limited license to use the Service, you acquire no rights or title in our intellectual property.
9. Term & Termination
- Term: These Terms remain in effect while you hold an Account or Subscriber relationship.
- Termination by You: You may cancel your subscription at any time through your Account settings; cancellation takes effect at the end of your current billing period.
- Termination by Us: We may suspend or terminate your Account for breach of these Terms, non-payment, or if required by law, with notice where feasible.
- Effect of Termination: Upon termination, your access ends, and we may delete your User Content after a commercially reasonable retention period.
10. Disclaimers
THE SERVICE IS PROVIDED “AS-IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARKINGPORTER NOR ITS AFFILIATES, OFFICERS, OR EMPLOYEES WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY IS LIMITED TO AMOUNTS PAID BY YOU IN THE PRIOR 12 MONTHS.
12. Indemnification
You agree to indemnify and hold harmless ParkingPorter and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, violation of these Terms, or infringement of any rights.
13. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or relating to them will be governed by the laws of the State of Florida, without regard to its conflict of laws principles. You and ParkingPorter agree to submit to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida.
14. Changes to Terms
We may revise these Terms from time to time. If changes are material, we will notify you via email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Miscellaneous
- Entire Agreement: These Terms, together with any policies or addenda referenced herein, constitute the entire agreement between you and ParkingPorter.
- Severability: If any provision is invalid or unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
